TERMS & CONDITIONS — FLIWISY PRIVATE LIMITED

1. Acceptance

These Terms govern your use of www.fliwisy.com and the Fliwisy mobile app (together, the "Platform"), operated by FLIWISY PRIVATE LIMITED ("Fliwisy," "we," "our," "us"). By using the Platform, you agree to these Terms, our Privacy Policy, and Refund Policy. If you disagree, do not use the Platform.

2. Eligibility

You must be 18+ and a registered retailer, wholesaler, supplier, or authorized business representative with a valid GSTIN, PAN, and KYC (where applicable).

3. Account

You are responsible for safeguarding your login credentials and OTPs, and for all activity on your account. Notify us immediately of any unauthorized use.

4. Nature of Service

Fliwisy is a B2B hyperlocal technology platform connecting retailers with verified suppliers and offering logistics for ultrafast delivery (typically within 90 minutes or the same day, subject to availability). Fliwisy acts as an intermediary; suppliers are responsible for the quality, accuracy, and authenticity of their listings unless Fliwisy is the seller of record.

5. Orders, Pricing & Payment

• Prices, taxes, and delivery charges are shown before checkout; the price at order confirmation applies.
• Orders are binding upon supplier/Fliwisy acceptance.
• Payments are processed via UPI, cards, net banking, wallets, or COD (where available) through secure PCI-DSS gateways.
• GST-compliant invoices are issued for every order.

6. Delivery

Delivery timelines (including the 90-minute promise) are estimates and may be affected by stock, location, traffic, weather, or force majeure. Buyer must be available at the delivery address to receive and verify the order.

7. Cancellations, Returns & Refunds

• Orders may be cancelled before dispatch.
• Damaged, defective, wrong, or expired items must be reported within 48 hours of delivery with photo/video proof.
• Perishables and personal-care items may not be returnable except for quality issues.
• Refunds are processed to the original payment method within 5–10 business days, as per our Refund Policy.

8. User Conduct

You agree not to:

• Use the Platform unlawfully or fraudulently
• Place fake or speculative orders
• Misuse, scrape, or reverse-engineer the Platform
• Upload harmful code or violate any law or third-party right
• Abuse suppliers, delivery partners, or staff

Violations may result in suspension and legal action.

9. Supplier & Delivery Partner Terms

Suppliers must list genuine products, maintain accurate stock/pricing, and comply with GST/FSSAI rules. Delivery partners are independent contractors and must hold valid licenses and follow service standards. Separate agreements may apply.

10. Intellectual Property

All content, trademarks, designs, and the Fliwisy name are the exclusive property of FLIWISY PRIVATE LIMITED. You may not copy, reuse, or distribute them without written permission.

11. Disclaimers & Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Fliwisy is not liable for indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the amount paid by you in the preceding three (3) months, or INR 5,000, whichever is lower.

12. Indemnity

You agree to indemnify FLIWISY PRIVATE LIMITED against any claims, losses, or expenses arising from your breach of these Terms or violation of law.

13. Force Majeure

Fliwisy is not liable for delays or failures caused by events beyond our reasonable control (natural disasters, strikes, network outages, government actions, etc.).

14. Termination

We may suspend or terminate your account for any breach, fraud, or legal reason. You may close your account anytime after settling pending dues.

15. Governing Law & Disputes

These Terms are governed by the laws of India. Disputes shall be resolved through arbitration in Malda, West Bengal under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by Fliwisy. Subject to arbitration, courts at Malda, West Bengal shall have exclusive jurisdiction.

16. Mobile App Terms

• The Fliwisy App is licensed, not sold, to you.
• You agree to comply with Google Play Store / Apple App Store terms.
• You consent to receive in-app notifications, OTPs, and transactional SMS/emails.
• You are responsible for any mobile data charges.

17. Changes to Terms

We may update these Terms at any time. Continued use after updates means you accept the changes.
